1. Agreement to terms
By visiting this website, submitting an inquiry, using the Zyverion AI assistant, requesting a quotation, or starting a project with ZYVERION, you agree to these Terms & Conditions. If a signed project agreement, proposal, invoice, or written contract is provided, that document may include additional or more specific terms.
2. Website use
You agree not to misuse this website. You must not:
- Submit false, abusive, illegal, spam, or misleading inquiries.
- Attempt to hack, overload, scrape, copy, reverse engineer, or damage the website.
- Use ZYVERION branding, content, images, layouts, or materials without permission.
- Upload or send harmful files, malicious code, or content that infringes another person’s rights.
3. Services
ZYVERION provides digital agency services, including business websites, landing pages, website redesigns, software systems, admin dashboards, portals, registration systems, inquiry workflows, automation workflows, access-related logic, and operational digital solutions.
The exact service scope depends on the business need, technical requirements, budget, timeline, third-party tools, and the agreed project scope.
4. Inquiries and quotations
Any estimate, website price range, AI-generated suggestion, message, or early quotation is not final until ZYVERION confirms the full scope. Final pricing may change depending on pages, features, integrations, content needs, urgency, hosting requirements, revisions, automation logic, third-party fees, and additional client requests.
5. Project start
A project normally begins only after the scope is confirmed, required information is received, agreement terms are accepted, and the agreed advance payment is made. ZYVERION may pause or refuse project work if required details, approvals, payment, or access are not provided.
6. Payments
Projects may require advance payments, milestone payments, and final payments. Unless agreed otherwise, final files, launch, transfer, or handover may be held until full payment is completed.
- Advance payments confirm project commitment and reserve development time.
- Milestone payments may be required for larger or longer projects.
- Late payments may delay timelines, support, launch, or handover.
- Third-party costs such as domains, hosting, paid APIs, plugins, email services, or external tools are usually separate from ZYVERION service fees unless clearly included.
7. Client responsibilities
Clients are responsible for providing accurate and timely information, including:
- Business details, service details, contact information, pricing, policies, and required content.
- Logos, images, brand assets, product details, legal text, and content approvals.
- Access credentials, domain details, hosting access, or third-party platform access where needed.
- Feedback, revision notes, approvals, and decision-making within a reasonable time.
ZYVERION is not responsible for delays, wrong information, rejected submissions, compliance issues, or incorrect public content caused by inaccurate or incomplete client-provided information.
8. Timeline and revisions
Project timelines depend on the confirmed scope, content availability, feedback speed, complexity, third-party services, testing requirements, and change requests. Reasonable revisions may be included depending on the agreement. Changes outside the original scope may require extra cost and additional time.
9. Ownership and portfolio
After full payment is completed, the client owns the final approved deliverables created specifically for their project, unless a separate agreement says otherwise. ZYVERION may retain ownership of pre-existing tools, reusable code structures, internal methods, templates, development patterns, and general knowledge used to build the project.
ZYVERION may display completed work, screenshots, case studies, and project references in its portfolio, website, social media, or marketing materials unless the client and ZYVERION agree otherwise in writing.
10. Third-party services
Projects may depend on third-party services such as domain registrars, hosting platforms, payment gateways, email providers, analytics tools, AI tools, APIs, maps, fonts, plugins, databases, or cloud services. ZYVERION is not responsible for outages, pricing changes, policy changes, account suspensions, service limitations, or technical failures caused by third-party platforms.
11. Support and maintenance
Support after launch depends on the project agreement. Minor fixes may be handled according to the agreed support period, but new features, major design changes, content expansion, third-party repairs, hosting migrations, speed optimization, security upgrades, or ongoing management may be treated as separate paid work.
12. Cancellation and refunds
If a client cancels a project after work has started, payments already made may be non-refundable because time, planning, design, development, communication, and resource allocation may already have been used. Refund decisions, if any, depend on the work completed, costs incurred, project stage, and written agreement.
13. Zyverion AI assistant
The Zyverion AI assistant is provided for general guidance, project direction, service explanation, and website-related support. AI responses, estimates, recommendations, or summaries are not final legal, financial, technical, or contract decisions. Final project terms must be confirmed directly with ZYVERION.
14. Liability
ZYVERION aims to provide professional and reliable work, but does not guarantee that every website, software system, automation, third-party integration, or digital service will be error-free, uninterrupted, or permanently compatible with all future technologies.
To the maximum extent allowed by applicable law, ZYVERION is not liable for indirect losses, lost profits, lost data, business interruption, third-party outages, client-side mistakes, unpaid third-party services, unauthorized changes, or misuse of delivered work.
15. Governing law
These Terms & Conditions are intended to be governed by the laws of Sri Lanka unless a separate written agreement states otherwise. Any dispute should first be handled through direct communication and reasonable business resolution before further action.
